Noeleen Ruddy is based in Walkers' Ireland office where she is a partner and co-head of the Finance and Capital Markets Practice Group.

Noeleen advises international financial institutions, investment banks, arrangers, managers, private equity, hedge funds, agents and trustees in relation to a wide range of structured finance products transactions including securitisations (RMBS, ABS, CMBS), debt offerings, CLOs (whether cash, synthetic or hybrid), CAT bonds and Commercial Paper Programmes.

Noeleen has also advised on combined qualifying investor alternative investment fund (QIAIF)/special purpose vehicle (SPV) transactions, distressed, stressed, performing and non-performing debt deals, and other bespoke structured product transactions.

She acts as lead counsel for a number of US hedge funds and private equity funds which invest in distressed, stressed, performing and non-performing European assets. She also regularly acts as trustee and agency counsel on Irish law capital market deals, and as issuer counsel advising on the restructuring of stressed and defaulted securitisations.

Career:

Noeleen previously worked in the Structured Finance and Derivatives Group of a big-five law firm in Dublin.

Some of Noeleen's transactions include:

- Acts as issuer counsel on European Collateralised Loan Obligation (CLO) transactions.

- Acted as issuer counsel to a major European reinsurer on the placement of a US$190m catastrophe bond deal through an Irish special purpose vehicle – this was the first SPV to be authorised by the Central Bank of Ireland following the implementation of the Solvency II regime under the European Union (Insurance and Reinsurance) Regulations 2015.

- Acted as issuer counsel to a major European bank in relation to a ?380m commercial mortgage backed securitisation through an Irish special purpose vehicle which listed on the Main Securities Market of the Irish Stock Exchange.
