Special Areas:

Keith joined Dillon Eustace in May 2014 from the finance group of one of Ireland’s other leading firms. Prior to that Keith was a member of the National Treasury Management Agency banking unit where he advised the Irish government on the recapitalisation of the Irish covered banks (including burden sharing with subordinated debt holders) and the restructuring of the Irish banking sector generally. He also previously worked in the United Arab Emirates where he advised on the recapitalisation of the local United Arab Emirates conventional and Islamic banks, oil and gas project finance transactions and conventional and Islamic finance transactions.

Keith practices in finance law with particular emphasis on banking and restructuring matters. He advises financial institutions, private equity funds, hedge funds, investor groups and borrowers on domestic and cross-border financing transactions including acquisition and property financing and tax based lending. He has advised on a wide range of bank asset disposals by both Irish and international banks operating in Ireland in connection with their deleveraging and liquidation strategies and is currently advising a range of potential purchasers of loan portfolios secured on Irish commercial and residential property.

Projects:

- Advising FMS Wertmanagement the German State’s winding-up institution for Hypo Real Estate Holding AG, in the purchase of Depfa Bank plc.
- Advised the Centric Healthcare Group on its refinancing with Bluebay Asset Management and associated shareholder restructuring.
- Advised the purchasers on the acquisition of the ICS Building Society mortgage book from The Governor and Company of the Bank of Ireland.
- Advising NAMA on due diligence projects, lending to borrowers and settlement arrangements with borrowers.
- Advising in relation to the sale and purchase and financing of a number of performing and non-performing Irish loan books.
- Advised on restructurings between the acquirers of loan books and the underlying borrowers.
- Advised financial institutions and private equity funds on the acquisition and disposal of subordinated bonds issued by Irish institutions.
- Advised on the recapitalisation of each of the Irish banks by the Irish government.
- Advised on a U.S. owned entity becoming authorised as a credit institution in Ireland.
