The off market purchase of shares equating to €1bn required both a fairness opinion for independent shareholders and an extraordinary general meeting of AIB shareholders to approve a share purchase deed.
In May 2024, AIB agreed with the Minister for Finance to make an off-market purchase of c. €1bn worth of AIB ordinary shares, equating to approximately 7.6 per cent of the company’s issued share capital. This complex deal is recognised as the Equity Capital Markets Buyback Deal of the Year.
The share sale was made more complicated by virtue of the fact that under Chapter 11 of the Irish Listing Rules and Chapter 11 of the UK Listing Rules and under the Irish ....
