A $1.5 billion bank bridge facility to cover the cash consideration payable was a key element in the agreement between the Smurfit Kappa and WestRock boards to recommend a merging of the two companies to create a global packaging leader.
In one of the largest Irish outbound mergers in many years, last September Smurfit Kappa, the FTSE 100 company paper-based packaging company, reached an agreement to acquire WestRock, the US-based, S&P 500 packaging company for $11 billion. When it closes this July the deal, which has been unanimously recommended by the boards of both companies, will create the world’s largest paper and packaging company worth in excess of $20 billion.
